La soci\u00e9t\u00e9 avait vendu pour pr\u00e8s de <strong>30 millions de dollars de NFT<\/strong>, en promettant aux acheteurs que les jetons prendraient de la valeur. Toutefois, les commissaires de la <a href=\"https:\/\/captain-trading.com\/actu-crypto\/category\/sec\/\" target=\"_blank\" rel=\"noopener\">SEC<\/a>, Hester M. Peirce et Mark T. Uyeda, ont \u00e9mis une d\u00e9claration dissidente, remettant en question l\u2019application de l\u2019analyse Howey aux NFT et soulevant des pr\u00e9occupations plus g\u00e9n\u00e9rales \u00e0 l\u2019\u00e9gard de l\u2019approche de la Commission vis-\u00e0-vis de cette classe d\u2019actifs \u00e9mergente.<\/p>\n<h2><strong>SEC vs Impact Theory<\/strong><\/h2>\n<p>Les commissaires dissidents reconnaissent les pr\u00e9occupations de la SEC concernant l\u2019engouement entourant les NFT, qui a conduit les gens \u00e0 investir pr\u00e8s de 30 millions de dollars sans bien comprendre l\u2019utilit\u00e9 ou la rentabilit\u00e9 de ces actifs. Cependant, ils soutiennent que de telles pr\u00e9occupations ne justifient pas une intervention de la SEC. Ils soulignent que les promesses faites par Impact Theory ne sont pas de nature \u00e0 constituer un contrat d\u2019investissement conform\u00e9ment aux lois sur les valeurs mobili\u00e8res.<\/p>\n<p>Ils \u00e9crivent :<\/p>\n<p>\u201cNous n\u2019engagerions pas syst\u00e9matiquement des actions coercitives contre des personnes qui vendent des montres, des peintures ou des objets de collection accompagn\u00e9s de promesses vagues de renforcer la marque et donc d\u2019augmenter la valeur de revente de ces objets tangibles.\u201d<\/p>\n<p>La soci\u00e9t\u00e9 avait d\u00e9j\u00e0 propos\u00e9 de racheter les NFT \u00e0 deux reprises, versant au total 7,7 millions de dollars en Ether, ce qui, selon les commissaires, aurait d\u00fb constituer une r\u00e9paration suffisante pour toute violation d\u2019enregistrement.<\/p>\n<p>Peirce et Uyeda ont soulign\u00e9 que <strong>la SEC aurait d\u00fb fournir des orientations sur les NFT bien avant de prendre des mesures coercitives<\/strong>. Ils posent plusieurs questions que la Commission doit r\u00e9soudre :<\/p>\n<p>\u2013 Quels sont les tenants et les aboutissants des NFT ?<br \/>\n\u2013 Dans quelle mesure la SEC devrait-elle intervenir dans la r\u00e9gulation des NFT ?<br \/>\n\u2013 Quels crit\u00e8res devraient \u00eatre utilis\u00e9s pour d\u00e9terminer si un NFT est un titre ou non ?<br \/>\n\u2013 Quelles le\u00e7ons la SEC peut-elle tirer des r\u00e9centes affaires NFT dans lesquelles elle est intervenue ?<\/p>\n<h2><b>En conclusion<\/b><\/h2>\n<p>En r\u00e9sum\u00e9, la SEC a inculp\u00e9 Impact Theory pour violation de l\u2019offre non enregistr\u00e9e de NFT. Cependant, <strong>deux commissaires dissidents ont \u00e9mis des r\u00e9serves quant \u00e0 l\u2019approche de la SEC<\/strong> et ont remis en question son application de l\u2019analyse Howey aux NFT. Ils estiment que la SEC devrait fournir des orientations et des clarifications sur les NFT plut\u00f4t que de lancer des actions coercitives.
